GFcrew/Lite Platform Service Agreement
Effective Date: The date you register for GFcrew/Lite.
This GFcrew/Lite Platform Service Agreement ("Agreement") governs your use of the GFcrew/Lite platform provided by Glossy Finish, LLC ("Company," "we," "us," or "our"). By registering as a GFcrew/Lite Member and using the Platform, you agree to the terms of this Agreement. This is an online agreement accepted electronically; no physical signature is required.
1. License & Access
- Company grants Member a non-exclusive, non-transferable license to access and use the Platform for the Member’s internal business purposes in connection with photography event operations.
- Member must maintain the confidentiality of login credentials and ensure only authorized personnel access the Platform under Member’s account.
2. Member Responsibilities
- Member is solely responsible for all content uploaded (including photos, customer data, and communications) and for complying with all applicable laws (privacy, consumer protection, tax, etc.).
- Member agrees not to misuse the Platform, circumvent its systems, or use it for competitive or unlawful purposes.
- Member agrees to transact all event-related sales and revenues attributable to Platform use through the Platform.
3. SMS/Texting Use
- Messaging through the Platform is subject to the SMS/Texting Use Policy, which incorporates Twilio and carrier requirements.
- Member must obtain customer consent before sending texts, use texts only for permitted purposes (photo notifications, MFA, registration updates, customer inquiries), and include opt-out functionality.
- Prohibited uses include unsolicited marketing, spam, harassing content, or sensitive personal data.
- Member is solely responsible for compliance; violations may result in suspension or termination of messaging access.
4. Intellectual Property
- Company retains all rights in the Platform and its business model.
- Member retains ownership of content they upload but grants Company a license to process, store, and display such content for Platform operation.
- Member must not use Company’s brands (GFcrew, Glossy Finish) without written approval.
5. Fees & Payments
- Member will pay all applicable subscription fees, transaction fees, and taxes as described in the order form or pricing schedule.
- Payments are auto-renewing unless canceled in writing at least thirty (30) days before renewal.
- Fees are non-refundable. Company may suspend Platform access for non-payment.
6. Confidentiality
- Member may receive non-public information about the Platform and Company’s business model. Member agrees to keep such information confidential and use it only in connection with authorized Platform use.
7. Term & Termination
- This Agreement begins on the date you register and continues until terminated.
- Either Party may terminate for material breach if not cured within thirty (30) days.
- Company may suspend or terminate access immediately for misuse, security risk, or violation of policy.
- Upon termination, Member may export their content for thirty (30) days unless terminated for cause.
8. Warranties & Disclaimers
- Company provides the Platform "as is" without warranties of uninterrupted availability or fitness for a particular purpose.
- Member represents they have authority to enter into this Agreement and to use/upload content lawfully.
9. Indemnification
- Member will indemnify and hold harmless Company and its affiliates from claims, losses, or damages arising from misuse of the Platform, Member content, or violation of applicable laws (including messaging compliance).
10. Limitation of Liability
- Company is not liable for indirect, incidental, or consequential damages.
- Company’s aggregate liability will not exceed the fees paid by Member to Company in the twelve (12) months preceding the claim.
11. Governing Law & Dispute Resolution
- This Agreement will be governed by the laws of the State of Florida.
- Disputes will be resolved first through good-faith negotiation, then mediation, and if unresolved, binding arbitration under the FAA and AAA Commercial Rules in Duval County, Florida.
12. General Terms
- Independent Contractors: The Parties are independent contractors; nothing creates a partnership or employment relationship.
- Assignment: Member may not assign this Agreement without Company’s written consent.
- Entire Agreement: This Agreement, together with any applicable order form, constitutes the entire agreement between the Parties regarding GFcrew/Lite.
- Amendments: Any modifications must be in writing and signed by both Parties.
